SECRETARY
Location: LAGOS
This position reports to the Managing Director/Board of Directors
Role
Responsibilities
·
Coordinates all Board and Annual General Meetings
(AGMs); taking of minutes at Management, Annual General and Board Meetings.
·
Maintains all company statutory books; keeps the register
of members, directors and secretaries
·
Handles all correspondence with the Board,
collating information and writing reports, ensuring decisions made are
communicated to the relevant company stakeholders
·
Drafts
and reviews a wide range of commercial agreements that comply with the company’s
policies and risk tolerance
·
Advise
and recommend courses of action to the Management and other company departments
on legal issues, commercial transaction structures, risks, and company policies
and procedures
·
Assist
in developing and implementing legal policies for new and existing products/
services
·
Monitoring changes in relevant legislation and the
regulatory environment and taking appropriate action
·
Serves as
the liaison officer between the company and external regulators & advisers (lawyers and auditors)
·
Ensures that the company complies with all
applicable codes, in addition to its legal and statutory requirements
·
Conduct internal investigations relating to
possible or alleged violations of regulations or company policies by employees
·
Works with a wide range of business personnel
including senior management to explain regulatory matters and work through
strategic options while effectively managing expectations
·
Provides legal support for the Board of Directors
and its subcommittees
·
Develops,
maintains, and supports a strong Board of Directors, serve as ex-officio of
each committee, seeks and builds board involvement with strategic direction
·
Rendering
returns to Regulatory Authorities (i.e SEC, NSE, etc.) appropriately and timely

securities rules and regulations as well as the Share Registration Business
Qualification
& Experience
·
Possess
at least an LLB or LLM degrees in Law, an MBA will be an added advantage.
·
Minimum of 10years’ previous corporate and/or capital
market experience gained within a leading law firm or financial services
organisation. Such company must be reputable with at least 50 staff members and
5 – 10 at the managerial level.
·
Being a Member of the Chartered Institute of Secretaries
and Administrators of Nigeria is an added advantage.
